1. Acceptance of Terms
By accessing or using Sokhey Media ("Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.
2. Platform Description
Sokhey Media is an influencer marketplace that connects clients (brands, businesses, individuals) with influencers (content creators) for promotional services. We are a facilitator — we are not a party to the agreement between client and influencer.
3. User Roles & Eligibility
- You must be at least 18 years old to use this Platform.
- Clients can browse influencers, place orders, and track campaigns.
- Influencers can list services, fulfill orders, and receive payouts.
- Users may only hold one account per role. Creating duplicate accounts may result in suspension.
4. Orders & Payments
- All payments are processed via Razorpay. By paying, you also agree to Razorpay's terms.
- Platform fee — Clients: A 10% platform service feeis added on top of the service price and charged to the client at checkout. This covers platform operations and payment processing costs. This fee is non-refundable once an order reaches "Delivery Verified" status.
- Platform fee — Creators: A 10% platform feeis deducted from the creator's earnings on every completed order. Net payout details are provided to creators on their payout invoice.
- Funds are held in escrow until the influencer submits proof and our admin team verifies delivery.
- The minimum payout withdrawal amount is ₹100.
5. Influencer Obligations
- Influencers must complete their profile (verified social handles, engagement data) before listing services.
- Start Work requirement: Upon receiving a paid order, the influencer must tap Start Work on the order page to formally accept and begin work. Failure to do so within 3 days after the delivery deadline will result in automatic order cancellation and a full refund to the client.
- Delivery deadline: After starting work, influencers must submit proof of delivery by the agreed deadline. A 2-day grace period applies after the deadline. If proof is not submitted within this period, the order is automatically cancelled and fully refunded to the client.
- Submitted proof (content URL + screenshot) must be accurate and genuine.
- Stories must remain live for a minimum of 12 hours after posting.
- Providing false proof will result in order cancellation and account suspension.
- Revisions:If the service includes revisions, the influencer must resubmit delivery when a revision is requested by the client. The revision note provided by the client must be followed. Failure to resubmit a revision in good faith may result in a dispute being raised in the client's favour.
6. Client Obligations
- Clients must provide a clear, complete brief when placing an order. Vague or misleading briefs that cause delivery issues are not grounds for a refund.
- Promotional content must comply with Indian law and platform guidelines — no illegal products, adult content, or misleading claims.
- Review window: After delivery is verified, clients have a 7-day window to raise a revision request or dispute. After this window closes, the delivery is considered accepted and no refund or revision can be requested.
- Revisions: If the purchased service includes revisions, clients may request up to the stated number of revisions during the 7-day window. Each revision request must include a written description of what needs to change. Revision requests pause the 7-day review clock until the revised delivery is re-verified by admin.
- Disputes:If the delivery genuinely does not match the brief, clients may raise a dispute during the 7-day window. Raising a dispute pauses the review clock. Admin will review and determine a fair partial refund based on the creator's demonstrated effort and evidence. Admin's decision is final.
7. Brand Campaigns
- Brands may post Campaigns — open briefs with a fixed budget per creator slot and a maximum slot cap. Campaigns go live only after full payment (total budget + platform fee) is confirmed.
- Creators apply to campaigns voluntarily. Brands have full discretion to approve or reject any applicant.
- Funds are held in escrow and released per slot only after admin verifies each delivery. Unapproved or unfilled slots remain in escrow until the campaign is closed.
- For Brand Campaigns, a 10% platform fee is charged to the brand on top of the total campaign budget. A separate 10% platform fee is deducted from each creator's slot payout. Net payout details are provided to creators on their payout invoice.
- Brands may close a campaign at any time. Refunds for unfilled slots are processed within 5–7 business days of the campaign closure request.
- Sokhey Media also posts its own Admin Campaigns on behalf of the platform. Admin Campaigns are paid directly by Sokhey Media — no escrow flow applies.
8. Disputes & Partial Refunds
Disputes may be raised by the client within 7 days of delivery verification. When a dispute is raised:
- The 7-day review clock pauses immediately. The order is placed on hold and admin takes control of resolution.
- Our admin team reviews the campaign brief, delivered content, and the dispute reason. Both parties may be contacted for additional evidence.
- Partial refunds: Creators invest real time, resources, and creative effort regardless of the outcome. Admin determines a fair split — a portion may be refunded to the client while the creator retains the remainder as compensation for effort. A full refund is not automatic.
- The platform service fees (10% charged to the client + 10% deducted from the creator) are non-refundable in all dispute outcomes. Only the remaining order value is subject to the refund split determined by admin.
- Admin's decision on the refund split is final and binding on both parties.
- Disputes raised after the 7-day window will not be considered.
8B. Content Protection Payout & Retention Policy
Brands may optionally enable Content Protectionat checkout. This applies a 70/30 split to the creator's payout:
- 70% is released to the creator immediately upon delivery approval.
- 30% is held by Sokhey Media in escrow for 30 days after approval.
- The held 30% is automatically released to the creator after 30 days if the content remains live and accessible at the submitted URL.
- If the content is found to be deleted, archived, or made private before 30 days, the held 30% is frozen permanently and will not be released.
Content Retention Obligation: All creators who accept orders (regardless of whether Content Protection was selected) must keep promotional content live for a minimum of 30 days. Deleting, archiving, or privatising content before 30 days is a policy violation and may result in a warning, held payout freeze, or permanent account suspension.
9. Payouts & Withdrawals
- Earnings are credited to your in-platform wallet after delivery is verified and the 7-day review window closes without a dispute (or after a dispute is resolved in your favour).
- KYC — Compulsory documents to withdraw payments: Before your first withdrawal can be processed, you must complete KYC verification by submitting the following:
- Legal name — your full name exactly as it appears on your bank account or PAN card.
- UPI ID — a valid, active UPI ID linked to a bank account in your legal name (e.g. yourname@upi, yourname@okaxis).
- PAN number — your Permanent Account Number (PAN) as issued by the Income Tax Department of India. This is required for statutory compliance and TDS deductions above applicable thresholds.
- Bank account number & IFSC code — your bank account number and the corresponding IFSC code, as required for direct bank transfer payouts.
- Withdrawals will not be initiated until all KYC fields (Legal name, UPI ID, Bank account, IFSC, PAN) are verified. Providing incorrect or mismatched details will delay processing and may result in rejection.
- KYC data is classified as Sensitive Personal Data under IT Rules 2011 and is encrypted at rest using AES-256-GCM. It is only accessible to authorised administrators for payout processing.
- Withdrawal requests are processed manually by our team within 5–7 business days of KYC verification.
- The minimum withdrawal amount is ₹100. Withdrawals below this threshold will be rejected.
- You cannot delete your account while you have an outstanding wallet balance or a pending withdrawal request.
10. Tax Compliance
Influencers are independently responsible for declaring their platform earnings as professional income in their own Income Tax Returns as required under Indian law. PAN collected during KYC may be used for statutory compliance purposes.
11. Social Account Verification & Verification Badges
- Influencers may optionally connect their Instagram account (via Meta OAuth) or verify their YouTube channel (via YouTube Data API). Both are entirely optional.
- Connecting a social account grants Sokhey Media a read-only OAuth access token. We use it solely to fetch your verified follower count. We do not post, message, or modify anything on your behalf.
- Upon connecting, your self-reported follower count is replaced with the platform-verified number. If the verified count is significantly lower than what you self-reported, your trust score will be recalculated accordingly.
- A blue verified tick is displayed when you have connected Instagram or YouTube and completed KYC. A golden frame (Top Creator) is additionally shown when your verified engagement rate is ≥ 3%.
- Misrepresenting your account identity during the OAuth flow (e.g. connecting an account that is not yours) is fraud and will result in permanent account suspension.
11B. Brand Verification
- Brands may optionally submit their PAN number and/or GSTIN for verification. Both are voluntary.
- A grey Verified tick is displayed on campaigns once PAN is approved by our admin team. A blue tick is displayed when both PAN and GSTIN are verified.
- Sokhey Media admin accounts are exempt and always display as fully verified.
- Submitting false or mismatched PAN / GSTIN details is fraud and will result in immediate account suspension and potential reporting to relevant authorities.
- Brand verification data is encrypted at rest (AES-256-GCM) and is only accessed by authorised administrators.
11C. Internal Rating System
- After an order is completed, clients may optionally submit a 1–5 star rating for the creator. Ratings are entirely optional and cannot be compelled.
- Ratings are not publicly displayed on creator profiles. They are used internally to calculate trust scores and determine ranking on the Browse Influencers page.
- Ratings affect the trust score only after a minimum of 3 completed ratings to prevent manipulation by a single order.
- Creators are not shown their individual ratings — only their aggregate trust score, which reflects ratings among other factors.
12. Engagement Rate Accuracy & Verification
Influencers are required to submit their real, accurate engagement rate as reported by their Instagram/YouTube analytics. Sokhey Media actively verifies submitted engagement data against third-party tools and platform analytics.
- Submitting an inflated, false, or estimated engagement rate constitutes fraud.
- On first detection of inaccurate data, your engagement rate will be corrected by our admin team and your trust score recalculated.
- On repeated or deliberate misrepresentation, your account will be permanently blocked without prior notice and all active services will be deactivated.
- Any pending payouts during a fraud investigation may be held for up to 30 days.
- By saving your profile, you confirm that all data submitted is accurate and you accept full responsibility for its correctness.
12. Right to Delete Account
In accordance with the Digital Personal Data Protection Act 2023 (Section 12) and IT Rules 2011, you have the right to permanently delete your account and all associated personal data at any time.
- Account deletion is available directly from your Profile page — no need to contact support.
- Deletion is blocked if you have: active campaigns in progress, a pending withdrawal request, or an outstanding wallet balance (earnings owed to you).
- Upon deletion: your profile, social data, and personal information are permanently removed. Order and payment records are retained for 7 years as required by the Companies Act 2013.
- Deleted accounts cannot be recovered.
13. Profile Photo & Likeness License
By creating an influencer profile and uploading a profile photo on Sokhey Media, you grant Sokhey Media a non-exclusive, royalty-free, worldwide license to use your name, profile photo, social media handle, and publicly available content for the following purposes:
- Promoting the Sokhey Media platform on social media (Instagram, YouTube, Facebook, WhatsApp, etc.).
- Showcasing creator profiles in marketing materials, blog posts, case studies, and advertisements.
- Displaying your profile in featured listings, platform announcements, and press coverage.
This license does not grant Sokhey Media any right to alter your likeness in a defamatory or misleading way, or to use your image for purposes unrelated to platform promotion. You may withdraw this consent at any time by deleting your profile photo or closing your account — however, content already published by Sokhey Media prior to withdrawal may remain live.
14. Prohibited Activities
- Circumventing the Platform to transact directly with other users.
- Submitting fake or manipulated engagement data.
- Creating fake orders or reviews.
- Promoting illegal products, services, or content.
- Attempting to hack, scrape, or overload the Platform.
- Raising disputes in bad faith with fabricated or exaggerated reasons.
15. Termination
We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or harm the Platform or other users. Pending payouts will be released after a review period of 30 days.
16. Limitation of Liability
Sokhey Media is a marketplace and is not liable for the quality, legality, or outcome of any promotion. Our maximum liability to any user is limited to the amount paid for the relevant order. We are not liable for indirect or consequential damages.
17. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
